Public Private Partnership - Nowy Tomyśl - Konin

A party to the Concession Agreement on behalf of the Polish government is the Minister of Infrastructure, while the body responsible for its implementation is the General Directorate of National Roads and Motorways. In order to meet its obligations under the Concession Agreement, the Development Company was established - A2 Bau Development GmbH (founded by the shareholders of AWSA: Strabag AG and NCC International AB) which is responsible for the construction, and an operating company – Autostrada Ekspolatacja SA (founded by the shareholders of AWSA: Transroute International SA, Kulczyk Holding SA and  Strabag AG).

In order to ensure proper performance under the contracts, in strict compliance with Polish law and the provisions of the Project Agreements, the Parties to the concession: the Minister and the Concessionaire appointed the Independent Engineer – WS Atkins of the UK, whose duty has been to supervise the design process, the construction and operation of the motorway, as well as to care for the proper execution and adequate quality of works.

Autostrada Wielkopolska SA is implementing the biggest concession based investment project in Poland under the PPP (Public Private Partnership) , i.e. the construction and operation of A2 Toll Motorway.

In January 1993 Autostrada Wielkopolska S.A. was incorporated as the first Polish special purpose vehicle to finance the construction and operation of A2 toll motorway.  The Company has been implementing concession based projects under the Public Private Partnership (PPP) scheme. 

In 1995
AWSA placed its bid in the two-stage international tender for the construction and operation of A2 Toll Motorway Świecko – Stryków and became the winning bidder.

In 1997
the Concession Agreement  was signed, with successive negotiations in view of the need to determine the financial terms of this public private project. Next 4 Annexes to the Concession Agreement were signed and paved way to the Financial Close , i.e. the terms and arranging of the financing. The Project was divided into phases, milestones and financing segments.

In 1998
the 13.3 km section of the Poznań Bypass was excluded from the financing (it was eventually financed from a PHARE grant, the European Investment Bank Loan and from the State budget) and following its construction it was taken over by AWSA for operation and maintenance as of 12 September 2003.

During negotiations it was agreed that AWSA would build and operate A2 Motorway from Świecko to Konin (255 km) .  Finally , the Project was divided into two phases. The initial one provided for the construction of the motorway section Konin – Nowy Tomyśl , the other one from Nowy Tomyśl to Świecko . 

In October 2000 AWSA signed the financial plan (Financial Close) which was an integral part of the Concession Agreement (Annex 4) with the government and which determined the cost of A2 Project in the section Nowy Tomysl – Poznań. The total cost was established at EUR 875 million, of  that 73% are direct construction and design costs amounting to EUR 637.5 million. This is the lumpsum turnkey contract price for the fully equipped motorway ready for operation.
As the Concessionaire, Autostrada Wielkopolska does not become the owner of A2 but rather ensures performance of the Concession Agreement for the term of 40 years, that is by 2037. The land on which the motorway is built remains the property of the State Treasury and the Company pays an annual rent of ca. PLN 7 million.

The implementation of the construction and operation of A2 toll motorway meets all most stringent technological and environmental requirements. In terms of financing, the Project in the section Nowy Tomyśl – Konin was structured so as to ensure that the toll revenues permit repayment of the loans for A2 construction, provide the funds for the maintenance, operation and repairs of the motorway and yield profits to the concession company shareholders and the Government.

The construction of A2 Motorway in the section Nowy Tomyśl – Poznań – Września – Konin is part of the important transportation corridor for Poland and Europe, linking our country with the European network. A2 Motorway is part of the Transeuropean Road Network.

The completion of the Initial Segment of the Toll Motorway means that a large part of the obligations of Autostrada Wielkopolska SA under the Concession Agreement was fulfilled. In organizational terms, it is a success that the Initial Segment was completed within the framework of the assumed budget and according to the scheduled deadlines. This is the best recommendation of AWSA, its construction partners, the companies and lending institutions AWSA has been working with in the future pursuance of the performance of the concession duties relating to the next section of the motorway from Nowy Tomysl to Świecko.
